打造合理、合规的上市公司法人治理结构

自1984年11月第一只股票在上海诞生以来，我国证券市场走过了29年不平凡的历程，取得了巨大成就。在这一历史进程中，作为证券市场细胞和基石的上市公司，也抓住这一历史机遇，不断发展壮大。但随着上市公司逐渐暴露的问题，不仅影响了我国证券市场的健康发展，甚至造成了一定的社会波动。这些问题大多与上市公司自身的法人治理结构有关。只有对法人治理结构中的弊端进行改革，才能真正保护广大投资者、尤其是中小股东的权益，才能从根本上扭转上市公司在证券市场的被动局面，才能保证我国社会经济健康而有序地运行。

Since November 1984, in which our first share was born, our securities market has passed 29 unusual years and has achieved great achievement. In this historic process, as cell and base stone of securities market, quoted company has hold this chance and developed step by step. But the problems exposed gradually in securities market, affected the development of securities market, and even made the society waved. Most of the problems related to legal person administering structure of quoted company. Only reform the shortcomings of the legal person administering structure, can the broad investors especially middle and little stockholders＇ interest be protected; can the passive situation of quoted company in securities market be improved; can the healthy and orderly operation of our social economy be guaranteed.
