| 摘 要： | 本文通过公共物品的私人自愿供给模型来分析中小股东在推选独立董事的推选博弈中，推选服务的供给不足为弥补这种不足，完善独立董事的兰成机制，必须优化股权结构，增加法人股比重，培育机构投资者，建立社会中介机构选择、推荐独立董事的制度。

| Abstract: | This paper makes use of the private supply model of public goods in analyzing the insufficiente services for stockholders in the game of choosing independent director.To improve the generation mechanism,we must optimize ownership structure,cultivate institutional investers,establish the system of choosing and recommending independent director by social intermediary institution. |
