| 摘 要： | 为了规范担保行为，我国相继颁布相关的法律法规，通过担保法等对担保行为进行了严格的界定和约束。然而国有企业特别是国有上市公司仍然存在为他人担保的违背市场经济规律的行为，国有企业由此必须承担担保责任和因此而造成的国有资产流失。本文通过对国有企业担保问题的分析，阐述应当完善公司治理结构，禁止国有企业为他人担保，加强监管制度等，防止国有资产的流失。

| Abstract: | In order to improve the guarantee behavior, China promulgates some corresponding laws and regulations to restrict strictly to the guarantee. However, the state-owned enterprises, especially the state-owned listed enterprises, are still provided with the behavior of standing guarantee for others, which violates the market economic laws. Therefore, the state-owned enterprises have to undestake the guarantee responsibility and the drain of state-owned property. Through analyzing the guarantee questions in state-owned enterprises, this paper elaborates that we should consummate the company structure and strengthen the supervision and management system to prevent the drain of the state-owned property. |
