| 摘 要： | 现代公司所具有的投资者的所有权与经营管理权的分离,形成了股东将公司交由管理者进行经营管理,而自己对公司的日常运作毫不知情,因而就产生了信息不对称的情形。这种信息不对称往往造成了股东和管理者之间的紧张关系。股东的查询权源于其成员资格,因此它是股东应有的个人权利。查询权作为股东参与管理、实现企业经营目的权利,是指股东了解公司情况的权利。在股东和公司以及管理者三方的利益博弈往返之间,股东查阅权制度的选择设计如何能够求得均衡,这是不得不去探究的问题。
