| 摘 要： | 在矿山企业的并购过程中,涉及到与矿山企业有关的用益物权有:采矿权和探矿权、土地使用权、林业权、草原使用权和水权等。由于各项用益物权涉及的法律规定和主管的政府部门不尽相同,因此会给收购方带来一定的麻烦,并且对尽职调查和矿山实际价值的评估产生影响。此外,在矿山企业的并购中,矿山环保方面的有关法律问题也应引起足够的重视。本文拟从矿山企业并购实践出发,就其中涉及的用益物权的处置及相关环保问题进行深入的分析,以求对从事矿业融资及其他相关领域工作的人士有所帮助。
