| 摘 要： | 依照不同的标准,可将利益输送划分为不同的类型;利益输送对公司股东和其他利害相关者产生各种各样的影响;利益输送往往以合法交易为其表面特征,因此给输出方带来的损害较为隐蔽;德国法律对利益输送规制的组合性方法,值得我国立法借鉴。

| Abstract: | According to different standards, the benefit transferring can be divided into different types. Benefit transferring brings various influences to the shareholders and other interested persons, and because of its surface legal transaction characteristic, so the damages to the export company caused by it are concealed. The composite methods in Germany law is worth for reference to China law. |
