机构投资者介入公司治理研究综述

20世纪80年代之后，英美发达国家的机构投资者迅速崛起，公司股权结构从高度分散转变为相对集中，机构投资者的投资策略也由“保持距离”向“控制导向”转变，并逐渐参与到公司治理中。一直以来，机构投资者介入公司治理的动因、途径以及绩效等方面是争论的焦点，国内外学者在这些方面做了大量研究，得出了不同的结论，但总体认为，机构投资者介入公司治理已经成为一个不可否认的事实。
