| 摘 要： | 风险投资协议可以使风险投融资双方在投资之前以法律文件的形式明确各自的权利和义务,以确保投融资双方的利益。首先提出了风险投资协议的内容与目标,然后就风险投资协议的主要条款、风险投资协议的一般内容和风险投资的股权安排展开了详细论述,在此基础上,确定了投资工具、投资价位等投资方案。

| Abstract: | For the benefit and sake of both sides, venture capital agreements can make clear definitions on rights and obligations of both sides of venture investment prior to the actual implementation in forms of legal documentations. After explanation on the contents and targets of venture capital agreements, the author provides details on the main clauses of venture capital agreements including the general contents and the shares of venture capital. Finally, investment schemes including investment tools and investment price location etc are determined accordingly. |
