| 摘 要： | 现代公司制度的实质是人力资本所有者和非人力资本所有者，在巧妙分工条件下凸现人力资本的直接、能动和决定性作用的一种制度安排。本文在对管理层收购的发展做了具体介绍，并分析了其利弊，提出了非煤产业经营者投资收购、经营者配股收购、经营者借股收购、经营者租赁收购等四大模式。

| Abstract: | The corporation system of modern enterprise is agency-principal system based upon the artful cooperation between human resource owners and financial owners. This paper introduces the development of Management Buyout, analyzes its advantages and disadvantages, Especially in the model of the design of MBO operation in Non-coal Industry, this paper states four models of investment buy-out ownership, accompanying buy-out ownership, debit buy-out ownership and lease buy-out ownership. |
