| 摘 要： | 我国合同法规定了代位权制度．但合同法的规定有其不尽完善之处．将债权人可行使代位权的权利仅限于债权．且没有规定可行使代位权的诉讼时效。本文借鉴先进立法和学说,对代位权的性质、客体、行使范围以及诉讼时效进行了探讨．并提出了自己的见解。
