| 摘 要： | 以某公司债转股实践为例．论述了资产管理公司在债转股新公司成立初期的作用，分析了资产管理公司阶段性持股和国企长远发展之间存在的诸多问题，对资产管理公司的定位进行了较深入的探讨，并提出了解决问题的设想。

| Abstract: | Taking a certain company which has transferred its debt to share as an example,the effect of asset management company in the early period of the transferring was described,and many questions existing in the asset management company and the state enterprise were analyzed.A deep discussion on the orientation of asset management company was carried out,and the corresponding solutions were put forward at the same time. |
