| 摘 要： | "管理层收购"是产生于西方国家的一种新型并购制度,作为一种制度创新,MBO对于企业的有效整合、降低代理成本,以及优化社会资源配置等有着重大的意义.笔者对以往实施MBO所暴露出许多诸如收购主体、收购价格、收购资金风险等问题及对策提出拙见.

| Abstract: | MBO is a kind of new purchasing system which emerge from the West countries.Act as a system innovations,it is of momentous significance that effective merge of enterprise,reducing agent costs,perfecting social resources dispose.Through implement of MBO in the past,it has exposed a lot of question,such as purchasing main part,purchasing price,purchasing fund hazard.In order to solve these problems,we proposed some solutions. |
