| 摘 要： | 介绍了企业资本的构成及融资方式，对不同融资方式下人力资本所有者的行为进行了分析。在个人不能提供成立企业所需要的全部资金而需要融资时，企业无论是采用债权融资方式还是股权融资方式都是有成本的，最优的融资结构就是使融资成本最小的融资结构。

| Abstract: | This paper introduces the capital structure and financing forms of enterprises ,and analyses the behaviors of the owners of manpower capital in different financing forms. Both bond financing and stock financing needed cost. When the individuals cannot provide all the capital needed,the best financing form is the one that need the lest cost. |
