中国企业外部治理特征及治理模式的完善

虽然企业治理问题是一个世界性的课题,但对于转轨经济背景下的现阶段中国企业而言,该问题具有特殊的意义。经过20多年的渐进式改革探索,中国企业逐渐认识到企业治理结构是现代公司制的核心,要建立现代公司制必须建立规范的企业治理结构。企业治理问题已成为国有企业改革的主要目标。由于转轨经济背景,中国存在大量的具有各种产权特征的不同所有制企业,这些企业又呈现出不同的动态演进的治理模式,因此中国企业的治理结构问题具有重要的研究价值。本文主要研究企业治理机制和企业外部治理的作用;不同企业治理模式的外部治理特征及其治理模式的完善问题。

On Characteristics of External Management and the Perfection Managerial Mode of Chinese Enterprises

Though a worldwide question,managing enterprises has particular meaning with Chinese enterprises in the present economic transitional context.With more than 20 years' gradual exploration in reform,Chinese enterprises have gradually realized the vital importance of managerial system to modern companies,and a normative enterprise managerial system ought to be established in order to set up modern company system.At present,enterprise management has become a major objective of the reform of state-owned enterprises.In the present transitional economy,there is a variety of the types of property right to China's enterprises,complicated with their diversified evolutionary managerial systems,it is of great value to research into the question of Chinese enterprises' managerial system.This paper makes a study of the managerial mechanism of enterprises and the function of external management,and examines the characteristics of external management of different managerial modes and the perfection of managerial modes.
