建立与完善我国上市公司的独立董事制度

由于我国上市公司治理结构中存在制约机制不健全的问题 ,特别是董事会结构中存在种种缺陷 ,导致上市公司股权过于集中、内部人控制现象严重 ,严重的损害了中小投资者的利益。为了健全公司治理结构 ,维护公司整体利益 ,保证中小股东的合法权益不受损害 ,中国证监会于 2 0 0 1年 8月 2 2日出台关于上市公司建立独立董事制度的指导意见。该指导意见的出台 ,标志着独立董事制度正式步入了我国证券市场 ,这将会极大的改善我国的公司治理结构 ,更好的保护中小股东的利益。首先对我国目前公司治理结构的现状和特点进行分析 ,然后根据分析的结论论述我国目前引入这一制度的必要性 ,并通过对独立董事制度的分析 ,最后提出完善和发展我国的独立董事制度的措施。

Establishing and Perfecting Independent Director System in China Listing Company

Due to the imperfection of controlling system, particularly the drawbacks in the director board, the shareholding control in many Chinese listing companies are excessively centralized with too much serious internal staff deciding, which does great harm to the interests of those medium-sized and small investors. In order to improve corporate governance structure, protect interest of the entity and the shareholders, chinese security supervision committee (CSSC) suggested establishing independent director system for listing companies on August 22, 2001. It symbolizes that the independent director board system has formally entered into chinese security market. It will perfect and strengthen corporate structure drastically as well as protect the interests of those small shareholders. For getting insights and enlightenment from this new system, it analyzed the current corporate structure situation and its features of chinese listing firms. On the basis of its conclusion, it presented the necessity of introducing independent director board system, and thus put forward the measures of improving and developing China's independent director board system.
