关于证券虚假陈述几个具体法律问题的探讨

《中华人民共和国证券法》于2005年10月27日修订，并将从2006年1月1日起正式实施。该法是中国规范证券市场的基本大法，本文作者针对《证券法》中的证券虚假陈述民事责任制度，这一我国证券立法的薄弱环节，着重从证券虚假陈述的界定、虚假陈述行为的认定、虚假陈述构成要件的认定及主体的认定等几个方面，综合运用比较分析、价值分析的方法，进行了详细阐述。在证券虚假陈述民事责任的构成要件、证件虚假陈述因果关系的认定方面提出一些个人的见解。以期有益于我国有关民事立法的进一步完善。
