| 摘 要： | 独立董事的引入为我国上市公司的发展和规范运作起到了一定的作用,然而,独立董事在我国毕竟还属于新事物,其运作还处于摸索阶段,且存在不少实践中的问题.本文对我国上市公司引入的独立董事制度存在的问题进行了详细地剖析,并在此基础上提出了相应的改进建议.

| Abstract: | The introduction of independent director has had certain functions in the development and standard operation of the listed corporations in China, but it is still something new, we are at the searching stage of its operation and still have many problems in the practice. This paper thoroughly analyzed the existing problem in the independent director system of the listed corporations in China, and put forward the amendment suggestions. |
