| 摘 要： | 企业治理机制的作用在于减少和控制代理问题 ,单个治理机制的边际效果是递减的 ,不同的治理机制之间存在着替代或互补效应 ,最优的治理机制应该是不同治理机制 (其中包括内部机制和外部机制 )的组合 .文章分析了几种主要的治理机制的作用、条件及其相互关系 ,提出了几种优化企业治理机制组合的建议

| Abstract: | The function of governance mechanism is to control agency problems. The marginal effect of single govemance mechanism is to decrease progressively. The existence of substitution among different mechanisms makes the optimal governace machanism, which the combination of difference mechanisms (inside and outside mechanism). The paper analyses its relationships, conditions and effect of difference governance mechanism, and gives some suggestions of the optimal governance mechanism. |
