| 摘 要： | 从我国公司的经营现状出发,阐明了规范控股股东行为的现实依据.通过对惩罚性赔偿原则和民事举证责任分配制度的法理解析,认为在现行《公司法》中引进惩罚性赔偿和举证责任性倒置原则,是加强诚信义务、完善公司治理的有效途径.

| Abstract: | In view of the current management situations of China s companies,the realistic grounds for standardizing the conducts of controlling shareholders are expounded.Based on analyses of the legal principles of punitive compensation system and distribution system of evidential burden,this paper holds that the introduction of punitive compensation and inversion of evidential burden into the existing company law is the effective avenne to promote the fiduciary duty and improve the company administration. |
