论我国一人有限公司的债权人保护

一人公司是世界上一种崭新的经济组织体,由于股东单一,公司机构设立简单化,公司意思形成过程形式化,为股东滥用有限责任原则和其他方式损害债权人提供了方便。世界很多国家通过立法加强了对债权人的保护,我国公司法在一人公司信息披露制度、公司治理结构和公司人格否认制度的设计上对债权人的保护均存在不足。因此,应从这三个方面进行完善。
