| 摘 要： | 股份制改造是我国企业制度的重大改革，由于长期以来形成的公有制模式的影响，股份制改造遇到许多难点，如国有股代表权问题，财产评估问题和产权划清问题等。股份制改造取得成功，关键就是尽快建立相配套的法律体系、完善各种职能。但步骤不能太快，应和整个社会经济改革相适应。

| Abstract: | The share system reform plays an important role in our whole enterprises reform. Due to the influence of the long- established public ownership model, there are difficulties in the reform, such as stateowned share rights, estate evaluation and the clearing of property rights.The key to the success in the share system reform lies in the establishment of the necessary law system and the fulfilment of various functions. But the velocity should comply with the whole economic reform. |
