| 摘 要： | 关联交易是各国公司法、证券法中极其重要的问题,它不但涉及公司的运作、国家税收的征管,而且对证券市场的健康发展和股东权益的保护也产生重大影响。应通过总结上市公司关联交易实践,吸收借鉴国外先进经验,进一步完善相关的立法。

| Abstract: | The interrelated party transaction is a very important question tor the company law and stock law ot countries. It not only involves company＇s operation, the national tax revenue collection, and also has the major impact on stock market＇s healthy development and the shareholder rights and interests protection. Through the summary of listed comany transaction practice, and by absorbing advanced oversea experiences, related legislation should be furthur consummated. |
