董事会在公司治理结构中的问题及对策

在公司股东会、董事会、经理层的相互制衡关系中,由于董事会既充当股东会的代理人,又担当经理层的委托人,使董事会在公司治理结构中具有十分重要的地位.目前我国公司董事角色的暖昧,使董事会不能代表股东利益行使对经理层的有效激励和监督.建立一个规范、独立、富有效率的董事会是完善公司治理结构的重要内容.

Among general meeting of share holders,board of directors and managers,board of directors acts as the representative of meeting of share holders as well as the mandator of managers.It makes the board of directors play a very important role in corporation administrative structure.At present the role of the board of directors in our country is quite equivocal,which could not makes the board of directors conduct effective stimulation as well as supervision to managers for the benefit of the share holders.So it is a key problem for the perfecting of the corporation administrative structure to constitute a normal,independent and effective board of directors.
