论股份公司监事会制度的完善

监事会制度作为股份公司内部专门行使监督权的监督机构,是公司法人治理结构的一个重要组成部分.我国<公司法>中也有相关规定.然而实践中一些公司的董事、经理人员损害公司、股东和第三人的利益,却很少见到监事在事前发现并加以制止.监事会制度徒有虚名,未能发挥应有的作用.因此,在充分认识公司监事会制度产生的理论依据和价值功效的基础上,探讨我国公司监事会虚化现象的根源,把握好监事会制度与独立董事制度的关系,完善我国公司立法中有关规定,使监事会监督权合理、有效行使,是摆在我们面前急需解决的问题.

Perfection of Board of Supervisors System in Stock Companies

Board of supervisors system is a special function in the stock company, which plays a very important role in the operation of the company. There are some correlative stipulations in China's current Company Law. However, there are cases in which some in-company directors and managers exploit the benefit of the company, dormant partners or other related ones without being discovered and halted in advance by the incompetent board of supervisors. Therefore, it is necessary to fully recognize the theoretical background of the establishment of the board of supervisors system and its function. On this basis, maintaining an adequate relationship between the board of supervisors system and that of independent board of directors, improving related items in the present Company Law to strengthen and facilitate the board of supervisors to exercise its function properly and competently is a must.
