我国上市公司治理存在的问题与对策

公司治理是公司正常生产经营和存续、发展的基础性制度安排。公司治理的目的:一是实现决策的科学化;二是在各所有方和经营者之间进行利益的公平、合理分配。我国上市公司治理机制既要保护全民所有的国有资产的利益,也要保护中小股东的利益。在优化我国上市公司治理方面,应该做到三点,1、股权有效分散化;2、进一步完善保护中小股东利益的法规制度;3、进一步发展和完善资本市场。

Problem and Countermeasure of Management of Chinese Company on Stock Market

Company administering is a basic system arrangement of its normal producing,managing,existing and developing.The aim is to make a decision scientifically and distribute profit fairly and reasonably between each owner and each manager.Our company protect not only profit of state-owned assets but also that of middle and minor share-holders.To optimized those company's management,share right should be dispersed effectively.Regulations and systems of protecting middle and minor share-holders' profit should be improved.Capital market should be further developed and perfected.
